Aelias Consulting Inc. (ACI) is a software vendor and integrator providing software solutions and related professional services to businesses and organizations.
Acceptance of Terms
By accessing or using ACI’s website, mobile applications, software platforms, or cloud-integrated services (Azure, AWS, Google Cloud, etc.), you agree to these Terms.
General
ACI may revise these Terms at any time. You should review this page periodically, as the current Terms are binding on you. Certain provisions may be superseded by designated notices or terms appearing on specific pages or within engagement agreements.
Applicable Laws
Our Site, products, and services are administered from the United States. You may not export or use materials in violation of U.S. export laws. These Terms are governed by the laws of the State of Illinois.
Intellectual Property
All software, automations, processes, documentation, and materials provided by ACI remain ACI’s intellectual property. Clients receive a limited, non-transferable license to use the services for the duration of their subscription or engagement.
Use of Services
Services are provided on an “as is” and “as available” basis for lawful purposes. Misuse of services is strictly prohibited.
Acceptable Use
Clients may not misuse ACI's services, including attempting to access systems without authorization, sharing login credentials, interfering with platform functionality, or using the platform for unlawful or harmful activities
Data Ownership & Security
Clients retain ownership of their data. ACI provides reasonable safeguards but is not liable for data loss or corruption caused by factors outside its control or by third-party vendors.
Data Usage
Personal information collected through our website, apps, and services is used to enhance service functionality and delivery. Privacy practices follow the standards outlined in our Privacy Policy.
Support & Maintenance
ACI provides standard support during business hours and may perform updates, maintenance, or improvements as needed. Service availability may be affected during scheduled or unscheduled maintenance windows.
Payment Terms
Invoices and subscription fees are due as stated at checkout or in the engagement agreement. Failure to pay may result in service suspension until the account is made current.
Refunds, Trials & Cancellations
Trials automatically convert to paid subscriptions unless cancelled before expiration. Subscription fees are non-refundable once a billing cycle begins. For projects, whether fixed-fee or time and materials, payments are non-refundable after work has begun. Refund requests are reviewed case by case for billing errors only or exceptional circumstances at ACI's discretion.
Termination
ACI may suspend or terminate a client’s access to services for reasons including non-payment, defined as any invoice outstanding more than seven (7) calendar days past the due date; repeated late payment; misuse of the platform; violation of these Terms; security concerns; actions that create legal or reputational risk; failure to meet onboarding or project requirements; or client non-responsiveness. Non-responsiveness includes failing to provide required information, approvals, access, or decisions needed for service delivery within a reasonable timeframe, defined as no more than ten (10) business days unless otherwise agreed in writing. If suspension or termination occurs due to client inaction or failure to fulfill obligations, all timelines and deliverables become void at ACI’s discretion, and ACI is not liable for delays resulting from client-caused issues. Upon termination, all access to ACI systems ends, associated data may be deleted in accordance with ACI’s data retention practices, and all outstanding balances remain due. Termination does not relieve the client of payment obligations for services already provided or allocated.
Third-Party Services
ACI may provide links to, integrate with, or rely on third-party platforms and services, including but not limited to Microsoft Azure, Amazon Web Services (AWS), Google Cloud Platform (GCP), and other infrastructure or software providers. These third parties operate independently of ACI, and ACI does not control their performance, availability, security, or functionality. ACI is not responsible for outages, downtime, delays, performance issues, service degradation, data loss, or failures arising from or caused by any third-party service. Any disruption originating from a third-party provider is outside ACI’s control and does not qualify for refunds, credits, service adjustments, or liability of any kind.
Communication Notifications (SMS)
Clients who opt in to SMS communications may receive appointment confirmations, reminders, and service-related notifications. You may cancel SMS messages at any time by replying “STOP” to the short code, after which ACI will confirm your unsubscribe status and cease sending further messages. To resume SMS notifications, re-enroll through the appropriate form or process. If assistance is needed, reply “HELP” or contact help@aeliascs.com. Message delivery is subject to carrier performance, and carriers are not responsible for delayed or undelivered messages. Standard message and data rates may apply. Privacy considerations related to SMS communications are governed by ACI’s Privacy Policy.
Limitation of Liability
ACI is not liable for indirect, incidental, or consequential damages related to your use of our services. Total liability is limited to the amount paid by the client in the preceding 12 months.
